1. Nature of the Environment
This environment establishes the conditions under which contact, record, time, value attribution, settlement, and enforcement are recognized.
It is not a platform, intermediary, or agent.
It does not manage your operations. It defines whether your actions are recognized.
2. Binding Declaration
By proceeding, you represent and warrant that:
- You are a legally recognized entity or an authorized representative with full authority to bind that entity
- Your acceptance requires no further approval
- All information provided is accurate and complete
This declaration is recorded, timestamped, and may be relied upon by counterparties, auditors, courts, and regulators.
False or unauthorized declarations result in immediate exclusion and may create independent legal liability.
3. Reachability and Contact
You agree to maintain a continuously reachable address within this environment.
You agree to accept all valid messages directed to that address.
Each accepted message produces a receipt.
A valid receipt conclusively establishes that contact occurred.
You may not:
- Refuse valid contact
- Accept contact without generating a receipt
- Deny the existence of a recorded receipt
4. Time and Response
System time is authoritative.
You will declare a response window.
Failure to respond within that window results in a recorded non-response state.
Non-response is a recorded condition and may be relied upon.
5. Record Supremacy
Recorded interaction governs.
Unrecorded interaction has no standing.
You may not:
- Substitute external communication for recorded interaction
- Override recorded interaction through informal channels
- Challenge recorded interaction using unverifiable communication
Where a record exists, it controls.
Where no record exists, no recognized interaction exists.
6. Data Use, Value, and Settlement
All use of data under a valid, recorded agreement produces attributable economic value.
That value must proceed to settlement.
Settlement occurs only on recorded, valid interactions.
Use without a valid, recorded agreement produces no recognized value.
No claim, revenue, or benefit derived from such use is recognized.
You waive any claim to value derived from unrecorded or non-compliant use.
7. Enforcement
Outcomes follow recorded interaction and settlement state.
Actions lacking required conditions do not execute.
Actions that do not execute do not settle.
Disputes are resolved against the recorded state.
No discretionary approval or after-the-fact validation exists.
8. Prohibited Conduct
You may not:
- Refuse valid contact
- Suppress or alter recorded states
- Route interactions to avoid record creation
- Misrepresent compliance or participation
- Simulate, forge, or manipulate records
- Use data outside declared purpose, scope, or duration
- Attempt to derive value from unrecorded or invalid interaction
Any such conduct constitutes material breach.
9. Representation and Mark
You may represent participation only while compliant.
You may not:
- Represent participation if excluded or non-compliant
- Represent partial or selective participation
Non-compliance may result in a visible designation indicating prior breach or exclusion status.
This designation may persist for a defined period and may be relied upon by others.
Misrepresentation results in immediate exclusion and may create legal liability.
10. Exclusion
You may be excluded at any time upon determination of non-compliance.
Exclusion results in:
- Loss of operational status
- Loss of ability to represent participation
- Invalidation of future interactions within this environment
Exclusion does not erase prior records.
11. Limitation of Role and Liability
This environment does not act as an agent, intermediary, fiduciary, or guarantor.
It does not:
- Guarantee performance
- Assume responsibility for participant conduct
- Adjudicate disputes
You remain solely responsible for your actions and legal obligations.
12. Governing Law and Venue
These terms are governed by the laws of the State of California, without regard to conflict of law principles.
Any dispute arising out of or relating to these terms shall be brought exclusively in the state or federal courts located in the County of San Francisco, California.
You consent to the personal jurisdiction of such courts and waive any objection based on improper venue or forum non conveniens.
13. Severability
If any provision of these terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.
14. Acceptance
By selecting “Proceed to Declaration,” you:
- Acknowledge that you have read and understood these terms
- Agree to be bound by them in full
- Accept that all obligations herein are enforceable
